2. Applicability
- These terms apply to all offers, proposals, Agreements and other legal relationships between WebFyndr and the Client, unless agreed otherwise in writing.
- Deviations from these terms are only valid if agreed in writing.
- Any general terms and conditions of the Client are expressly rejected, unless WebFyndr has accepted them in writing.
- If any provision of these terms is void or annulled, the remaining provisions remain fully in force.
- If documents conflict (proposal, contract, emails), the most recent written communication prevails, unless expressly stated otherwise.
3. Offers and formation of the Agreement
- All offers from WebFyndr are non-binding, unless expressly stated otherwise in writing.
- An Agreement is formed when the Client accepts WebFyndr’s offer in writing or digitally, or when WebFyndr starts work after the Client’s approval.
- Before entering into an Agreement, WebFyndr may request further information from the Client to assess whether the Services are feasible and suitable.
- The content of the Agreement is determined by the proposal, the chosen Package and these terms.
- WebFyndr may withdraw an offer that has not been accepted within 30 days.
4. Performance of the Services
- WebFyndr performs the Services to the best of its knowledge and ability, in accordance with good professional practice in the industry.
- WebFyndr works on a best-efforts basis. WebFyndr does not guarantee specific results, including but not limited to search rankings, visitor numbers, lead volumes, conversion rates or levels of AI visibility. Results depend on many external factors outside WebFyndr’s control.
- Search engines (such as Google) and AI platforms (such as ChatGPT, Perplexity, Gemini and Copilot) control and change their own algorithms and decide independently which results they show. WebFyndr has no direct influence over this and cannot prevent or control such changes.
- WebFyndr may engage third parties (subcontractors, freelancers, software suppliers) to perform the Services. The Client will be informed of this.
- Timelines and deadlines communicated by WebFyndr are indicative and not binding. Delays may result from resource availability, project complexity, the Client’s availability or factors outside WebFyndr’s control.
- WebFyndr may adjust and optimize its strategy, methodology and working methods at its own discretion where this benefits the Client, without prior written consent.
- WebFyndr may temporarily interrupt Services for maintenance, updates or security reasons, with reasonable written notice where practicable.
5. Packages and fees
- WebFyndr offers the Foundation, Growth and Dominance Packages. The content of each Package is described on the WebFyndr website and/or in the proposal. The Monthly Fee and any Setup Fee for the Client are set out in the proposal.
- WebFyndr may change the content of a Package, provided this does not materially reduce the Services.
- All prices exclude VAT (or any other sales tax), unless expressly stated otherwise.
- WebFyndr may index its rates annually based on the consumer price index (CPI). For any increase above CPI, WebFyndr gives at least 60 days’ prior written notice.
- Additional work: all work outside the defined scope of the chosen Package is additional work and is invoiced at the applicable hourly rate, available on request. Additional work is only performed after the Client’s prior written approval.
- Advertising budget: any advertising spend (for example Google Ads, Meta or LinkedIn Ads) is not included in any Package and is paid and controlled entirely by the Client, unless agreed otherwise in writing.
- Third-party software: licenses and subscriptions for third-party tools (SEO tools, CRM platforms, marketing automation and similar) are not included and are paid entirely by the Client, unless agreed otherwise in writing.
6. Payment
- The Setup Fee is due at the start of the Agreement and must be paid in full before work begins. WebFyndr does not start the Services until the Setup Fee has been received in full.
- The Monthly Fee is payable in advance and is invoiced at the start of each monthly period.
- Payment must be made within 14 days of the invoice date, unless agreed otherwise in writing.
- If the payment term is exceeded, the Client is in default by operation of law, without notice, and WebFyndr may: (a) suspend the work until payment is received; (b) charge the Dutch statutory commercial interest on the outstanding amount; and (c) charge extrajudicial collection costs in accordance with the Dutch Decree on Compensation for Extrajudicial Collection Costs (Besluit vergoeding voor buitengerechtelijke incassokosten).
- Objections to the amount of an invoice must be submitted in writing within 7 days of receipt. After this period, the right to object lapses.
- WebFyndr may require advance payment for work, particularly for large projects, additional work or if the Client has previously paid late.
- Suspension of work because of late payment does not release the Client from the obligation to pay the amounts owed.
- Partial payments are first applied to the oldest outstanding invoice.
- WebFyndr may transfer outstanding claims to a third party for collection without the Client’s prior consent.
7. Term and termination
- The Agreement starts with an initial term of 3 months (the foundation phase), unless agreed otherwise in writing. After the initial term, the Agreement continues for an indefinite period on a monthly basis.
- During the initial term of 3 months, the Agreement cannot be terminated early by the Client, except in the cases described in this article. Upgrading to a larger package is possible at any time.
- After the initial term, the Client may terminate the Agreement monthly by written or digital notice to WebFyndr, observing a notice period of 30 days.
- WebFyndr may terminate the Agreement with 30 days’ notice.
- WebFyndr may terminate the Agreement with immediate effect if the Client: (a) is in default of payment and has not remedied this within 14 days of a written demand; (b) applies for a suspension of payments or is declared bankrupt; (c) acts unlawfully or uses the Services for unlawful, fraudulent or harmful purposes; (d) repeatedly breaches these terms; or (e) engages in abuse, intimidation or offensive behavior toward WebFyndr staff.
- On termination, amounts already invoiced and paid are non-refundable, unless WebFyndr has failed to perform for reasons attributable to it.
- Within 14 days of termination, WebFyndr provides the Client with a handover document containing all relevant data, login details and documentation. The Client is informed of this handover in writing.
- After termination, all of WebFyndr’s access to the Dashboard and all managed tools is revoked. Active advertising campaigns are paused (not deleted) to prevent unwanted costs.
8. Obligations of the Client
- The Client provides WebFyndr in good time with all information, access, resources and cooperation needed to perform the Services, including access to the Website, Google Search Console, Google Analytics, Google Business Profile, social media accounts and any CMS. WebFyndr is not liable for damage resulting from information, access or cooperation that is missing, late or insufficient.
- The Client ensures that the information provided is accurate, complete, current and not misleading.
- The Client follows WebFyndr’s guidelines and refrains from actions that could hinder the Services or that violate the guidelines of search engines or AI platforms.
- The Client is responsible for safeguarding its own passwords and access details, informs WebFyndr immediately of any security breach, maintains and secures its own systems, and grants access under secure conditions.
- The Client is solely responsible for the legal compliance of all content on its Website, including its privacy policy, disclaimers, terms and conditions and image usage rights, and guarantees that this content is lawful and does not infringe intellectual property, privacy or other rights of third parties.
- The Client is available for regular consultation and feedback and answers WebFyndr’s questions within a reasonable time.
9. Communication and reporting
- WebFyndr communicates with the Client mainly by email. The Client keeps a valid email address and contact details up to date.
- Both parties aim to respond to written questions within 2 business days, unless agreed otherwise.
- WebFyndr provides monthly reports on progress, results and KPIs. The Client reviews each report and gives feedback within 7 days.
- WebFyndr is not liable for delays caused by a lack of response from the Client.
10. Use of AI tools and automation
- WebFyndr uses AI tools, machine learning and automation as part of its Services.
- AI-generated content is always reviewed, validated and edited by WebFyndr staff before it is delivered to the Client.
- WebFyndr does not guarantee the consistency or quality of AI output, as AI tools are subject to unexpected changes. The Client accepts that AI-generated content is an aid and not a substitute for professional judgment.
- WebFyndr is not liable for errors, inaccuracies or unexpected results arising from the use of AI tools.
11. Client website and third-party services
WebFyndr is not responsible for, and not liable for problems arising from: hosting (including downtime, speed, server errors and DDoS attacks); domain registration, renewal, aliases, DNS configuration or transfers; SSL certificates and their renewal or errors; failing integrations with third-party platforms, plugins or tools; updates, changes or incompatibilities of WordPress, Shopify, WooCommerce or other CMS platforms; and the behavior of search engines, AI platforms, social media or other external services. The Client is responsible for regular backups, security updates and maintenance of its technical infrastructure.
12. Intellectual property
- All content, reports, strategy documents, texts, designs, analyses, templates and other original material developed by WebFyndr remain WebFyndr’s intellectual property until all amounts owed have been paid in full.
- After full payment, the Client receives a non-exclusive, non-transferable right to use the delivered content for the agreed purpose.
- The Client may not sell, license, republish, duplicate or make available to third parties the content, strategies, methodologies or process documents delivered by WebFyndr without WebFyndr’s prior written consent.
- Unless agreed otherwise, all rights to AI-generated content and data analyses remain with WebFyndr, which may use them for other purposes.
- WebFyndr may mention the Client’s name, logo and company details as a reference and case study, unless the Client expressly objects in writing.
13. Confidentiality
- Both parties keep confidential all confidential information they receive from each other under the Agreement. Information is confidential if the other party says so or if this follows from its nature.
- This obligation does not apply to information that was already public, became public other than through a breach of this obligation, or must be disclosed by law. WebFyndr may also disclose confidential information where needed to defend itself in legal proceedings.
- The confidentiality obligation applies for the duration of the Agreement and for two years after it ends.
14. Personal data
- WebFyndr processes personal data in accordance with the GDPR and the Dutch GDPR Implementation Act, as described in our Privacy Policy.
- Where WebFyndr acts as a processor for the Client, the parties enter into a separate data processing agreement.
- Both parties comply with all applicable data protection and privacy laws. The Client is responsible for obtaining any consents required from its own customers and visitors.
15. Non-solicitation
During the Agreement and for 12 months after it ends, the Client may not, directly or indirectly, recruit, employ or offer contracts to any staff member, employee, consultant or contractor of WebFyndr. For each breach, the Client owes WebFyndr a penalty of €10,000, without prejudice to WebFyndr’s right to claim further damages and to take legal action to enforce this provision.
16. Assignment
- WebFyndr may transfer the Agreement to a related, affiliated or successor entity (including, for example, a US company or associated business) without the Client’s prior consent, provided the successor is bound by the same obligations. The Client will be notified of any such transfer in writing.
- The Client may not transfer, assign or delegate the Agreement without WebFyndr’s prior written consent.
- If the Agreement is presented to third parties (for example potential acquirers), WebFyndr protects all confidential information in accordance with these terms.
17. Liability
- WebFyndr is only liable for direct damage resulting from an attributable failure to perform the Agreement.
- Liability for indirect damage, including lost profits, lost savings, loss of data, loss of opportunities, reputational damage, consequential damage, business loss and loss of revenue, is expressly and fully excluded.
- WebFyndr’s total liability is in all cases limited to the amount paid by the Client in the three months before the event causing the damage, up to a maximum of €5,000 per incident and €10,000 per year.
- All claims against WebFyndr must be submitted within 12 months after the damage arises. After this period, all rights lapse.
- WebFyndr is not liable for damage resulting from: changes in algorithms or policies of search engines (Google, Bing, Yahoo) or AI platforms (ChatGPT, Perplexity, Gemini, Copilot and others), including ranking drops; acts or omissions of the Client, its staff or third parties; shortcomings in information, content, access or cooperation provided by the Client; force majeure (section 18); actions of competitors (such as negative SEO or link schemes); and content, claims or commitments on the Client’s Website, even if written by WebFyndr.
- The Client indemnifies WebFyndr against all third-party claims (including customers, complainants and authorities) related to the performance of the Agreement, unless caused by WebFyndr’s intent or gross negligence.
18. Force majeure
- WebFyndr is not liable for failure to perform the Agreement due to force majeure: any circumstance beyond WebFyndr’s control that temporarily or permanently prevents or hinders performance. This includes natural disasters, war, terrorism, pandemics, government measures and sanctions, serious supply chain disruptions, power or energy outages, outages or crashes of third-party systems (including search engines, AI platforms and cloud providers), internet or DNS failures, cyberattacks on third-party systems, large-scale strikes, platform lockouts and unexpected third-party algorithm changes.
- During force majeure, WebFyndr makes reasonable efforts to limit the consequences and resume the Services.
- If force majeure lasts longer than 60 days, either party may terminate the Agreement in writing, without any obligation to pay damages or penalties.
19. Complaints
- Complaints about the Services must be submitted in writing to [email protected] within 7 days of the event to which they relate.
- WebFyndr handles the complaint and responds in writing within 30 days.
- If the Client is not satisfied with the response, the Client may submit the matter to the competent court in accordance with section 22.
- Submitting a complaint does not suspend the Client’s obligations, including payment.
20. Disclaimer
20.1 Scope
This disclaimer applies to the use of webfyndr.com and its subdomains, and to all information on it, as well as to our emails, social media channels, sales calls, strategy sessions, presentations and marketing materials. By using this website or contacting WebFyndr, you accept this disclaimer. If you do not agree, please do not use the website.
20.2 No guarantee of results
WebFyndr gives no guarantee or promise of results, including search rankings or positions, traffic, numbers of leads, conversion rates, sales or revenue growth, return on investment, mentions in AI-generated answers, featured snippets, knowledge panels or local packs, online reputation or review scores, or social media reach. Past results are no guarantee of future results. Case studies, testimonials and examples on our website are individual experiences of individual clients and are not a promise or prediction of what you will achieve.
20.3 Illustrative figures and estimates
All figures, percentages, timeframes, growth projections and result estimates that WebFyndr mentions on its website, in sales calls, presentations, case studies or written communication are illustrative. They are based on earlier client cases or theoretical scenarios, not firm promises. Verbal estimates, written forecasts, other companies’ results and expected timeframes are not binding commitments or fixed deadlines.
20.4 External factors and AI visibility
Results depend on factors outside our control, including search engine and AI platform algorithm changes, competition, market conditions, changes in your business, the quality of your website, your own activities, technical problems, and the quality of external citations and links. AI visibility (GEO) is a new and fast-changing field: AI platforms change their models and outputs continuously, publish no detailed documentation of how they select sources, show different answers to different users, and can drop, ignore or misstate a business without warning, regardless of optimization. WebFyndr cannot control what AI platforms output and performs AI visibility services on a best-efforts basis, without any contractual obligation as to results.
20.5 Not legal, tax or financial advice
Advice and information from WebFyndr, whether given verbally, in writing or otherwise, is general business guidance. WebFyndr does not employ lawyers, tax advisers or financial advisers, and its advice is not a substitute for independent professional advice. WebFyndr is not liable for the consequences of following recommendations without obtaining such advice.
20.6 Website information and availability
Information on this website is provided “as is”, without any guarantee of accuracy, completeness, suitability or currency. Despite our best efforts, information may be outdated or incomplete, and we may change it at any time without notice. We do not guarantee that the website is available at all times, or that the website or our emails are free of viruses or other harmful code. You use the website and our email communication at your own risk.
20.7 External links and social media
This website may link to third-party websites. WebFyndr has no control over and accepts no responsibility for their content, practices or policies, and a link does not imply endorsement or any relationship. WebFyndr is not responsible for content or comments posted by others on social media or for third-party content about WebFyndr. Reviews and comments reflect the opinions of individual users.
20.8 Email
Emails from WebFyndr may contain confidential information intended only for the addressee. If you receive one in error, do not disclose or share its content, notify WebFyndr immediately and delete the message.
20.9 Website content
All content on webfyndr.com and its subdomains, including texts, images, graphics, logos, icons, animations, videos, software, code and the overall structure and layout, is the intellectual property of WebFyndr or its licensors, unless stated otherwise. You may not reproduce, distribute, modify, translate, sell, scrape, republish or otherwise use this content without WebFyndr’s prior written consent.
20.10 Limitation of liability for website use
To the fullest extent permitted by law, WebFyndr is not liable for any damage arising from the use of this website or its information, including indirect, incidental, special, consequential or punitive damages, loss of profit, revenue, data or goodwill, or damage caused by downtime or by visiting external websites, whatever the legal basis and even if WebFyndr was advised of the possibility of such damage. For clients, the liability provisions in section 17 apply to the Services.
21. Changes to these terms
- WebFyndr may change these terms. Changes are communicated to the Client in writing or by email at least 30 days in advance.
- If the Client does not agree with the changes, the Client may terminate the Agreement as of the date the new terms take effect, without a notice period.
- Continuing the cooperation after that date means the Client accepts the changed terms.
22. Governing law and disputes
- All Agreements between WebFyndr and the Client, these terms and the disclaimer in section 20 are governed exclusively by Dutch law, excluding its rules of private international law.
- The parties first try to resolve disputes through consultation and negotiation. If they cannot resolve a dispute within 30 days, either party may submit it to the competent court.
- The competent court is the District Court of North Holland (Rechtbank Noord-Holland), the Netherlands, unless mandatory law designates a different court.
- Both parties retain the right to resolve disputes in another way, such as mediation, arbitration or settlement.
